1) Introduction

a) The Robomate Subscription Terms and Conditions (“Terms”) is between you individually (“you” or “your”) and Robomate Limited (“Robomate”, “we”, “us” or “our).
b) These Terms apply to the Services we provide to all consumers or businesses with a Robomate Robot Vacuum Subscription. Specific terms may also apply to your specific promotion, plan or offer. If your specific promotion, plan or offer is inconsistent with these Terms, the specific terms that are additional or are a variation to these Terms will apply as addendums or variations to these Terms. These Terms are effective on the date we provide you with confirmation of your Subscription or the date on which your Subscription is renewed, as applicable.
c) You must be 18 years or older and permanently residing in New Zealand to sign up a Subscription.

2) Purpose

a) Robomate will provide you with a robot vacuum cleaner in good, workable condition. The model will be equivalent or better than that specified when you sign up.

3) Subscription Period

a) All Subscriptions are a two-year fixed term, unless specified otherwise in writing by an authorised representative from Robomate or the subscription term is varied as part of a valid Robomate promotion.
b) You will have a free 14-day trial before beginning your 2-year fixed term Subscription (read the trial terms below).
c) In the first 90 days of your Subscription you have the option to purchase the robot you have on subscription without a termination fee. (see Option to Buy terms below)

4) Subscription Trial Period

a) You will have a free 14-day period with the following conditions:
i) This is a trial only for genuine customers for the sole purpose of evaluating the performance of the product.
ii) This trial is only valid for consumers, households, offices or businesses who have not owned or trialled a Robomate robot vacuum within the preceding 2 years, unless it is declared and then accepted in writing by a Robomate employee. Robomate will approve all trials and may decline providing a trial without explanation. Contact us if you wish to request another trial. 
iii) The two-year Subscription period automatically begins after the 14-day trial period has expired unless the product is returned to us.
iv) The 14-day period begins:
(1) when the Product is in your physical possession, if picked-up or delivered by Robomate or an Official Reseller.
(2) 48 hours after the Product is picked up by the courier. You must notify Robomate if the product does not arrive within 48 hours referring to the courier tracking number.
v) You are responsible for the Product while it is in your possession. If returned, the product and packaging must be returned in the same condition it was received, in line with fair use.
vi) You are liable for costs or repair work required for any damage.
vii) If you wish to return the product:
(1) You must notify Robomate and organise the return, or collection by a courier, within the 14-day period.
(2) You must include all accessories, instructions, and packaging. To protect the product, it must be repackaged the same way you received it.
b) If you do not return the product within the 14-day trial period:
i) The two-year fixed term Subscription automatically begins and becomes subject to the cancellation terms.
ii) You will automatically be charged for the first month of the Subscription. 
iii) You accept the performance of the machine.

5) Option to buy

a) You may purchase the product you have on Subscription at any time within the first 90 days or during the trial period.
b) Any Subscription payments already received (excluding penalties and other costs, if applicable) will be deducted from the total amount.
c) The purchase price is that published on the Robomate website at the time you sign up to your Subscription.
d) Once full payment is received, you will take full ownership of the product and the Subscription will be cancelled.
e) You will have a 1-year warranty, which begins on the date you first received the product.

6) Ownership

a) Robomate retains full ownership, title and security over any Subscription products, during and at the end of the Subscription Period. You may not sell, change the title or place a security over the product.

7) Payments

a) Your Subscription payments will be automatically charged monthly in advance from the payment card used to sign up. The Subscription rate you sign up to will remain fixed for the full 2-year Period.
b) It is your responsibility to ensure payment is successful.

8) Use of Product

a) The product may only be used in accordance with Neato or our operating instructions.
b) You agree to read the operating manual, including the maintenance guide and abide by these instructions.
c) To ensure the longevity of the machine, you will replace filters and brushes, using only Neato Genuine parts purchased from Robomate or an official New Zealand reseller at your own cost. These must be replaced at a minimum:
i) Filter every 3 months.
ii) Brush every 9 months.
iii) Failure to maintain your Subscription robot will make you liable for any resulting damage.
d) You agree to assist the almost autonomous Product when necessary. You also agree to assist our support with remote-troubleshooting and allow reasonable time to resolve issues. It may be necessary to allow a technician to visit the Product’s location.

9) Responsibility for Product

a) Robomate will provide you with a Product in good, workable condition. If you comply with Use of Product, Robomate is responsible for:
i) Faults with the Product as a result of standard operation that prevent it from performing its intended function. We will repair or replace your Product as necessary. Note: we will not repair or replace visual damage during the Subscription Period.
ii) You are responsible for the safety, security and correct operation of the Product. In particular, but not limited to:
(1) Any damage that is not “self-inflicted” by the robot’s autonomous operation. You will pay the cost to repair or replace any such damage.
(2) Ensuring a safe environment for your robot. As an example, this includes but is not limited to, water damage, pet damage, children and damaging surfaces.
(3) Theft or misplacement of the Product.
(4) The correct set-up, operation and maintenance of the Product, in accordance with our instructions.
(5) Reporting faults or damage immediately and in good faith.
(6) Insuring the Product.
(7) Reliable electrical supply and home internet networks that meet specification.
(8) You cannot alter the Product in any way. You cannot disassemble the Product or tamper with the Product in any way unless we instruct you to do so in writing.

10) Non-payment and penalties

a) If you are concerned about an upcoming payment, please notify Robomate in advance.
b) It is your responsibility to ensure payment is made on the due dates. We retain the right to assign any debts to a third party for collection.
c) Late payments will incur:
i) A $19.20 accounting fee, per overdue payment.
ii) An additional $1 per day penalty until payment is received.
iii) If your account balance is overdue for more than 30 days (calculated cumulatively over the Period):
iv) Robomate may cancel the Subscription agreement and charge all Cancellation Fees and costs. You will still have to pay any amounts owing and no refunds will be given for previous payments.
v) 25% per annum interest on the amount owing, charged weekly.
vi) A failure to make any payment to Robomate by the required date will constitute a material breach of the Agreement. If you are unable to make your payment, you must return the Product to us immediately. We retain the right to repossess stolen goods and pursue a criminal prosecution.

11) Cancellation

a) Cancellation of the Subscription, except opting to purchase during 90-day period, or during the 14-day Trial, will incur a $250 Cancellation Fee. If you fail to return the Product within 30 days, you will be liable for the full amount owing on your Subscription in addition to the Cancellation Fee.
b) Any payments outstanding must be paid and no refund will be given for previous payments. Any damage outside reasonable expectations of “fair wear and tear” that require repair or replacement will be charged additionally.
c) Once your Subscription has been cancelled, you must return the Product to us immediately. If the Product is not returned within 14 days additional charges will be incurred.
d) We retain the right to cancel any Subscriptions, immediately and without prior notice, at our sole discretion.

12) Return of Product

a) At the end of the Period, we will organise the return of the Product.
b) Contact Robomate and we will send instructions to follow to ensure the safe return of the Product.
c) Please keep the original packaging and return the Product carefully packaged. You agree to package the Product for return. Please notify us if you do not have the original packaging.
d) You agree to return the Product within 14 days of our request and to assist with its return.
e) You must return any Subscription product immediately upon our request or at the cancellation of your Subscription.
f) Failure to return the Product within 14 days after our request will incur a daily penalty of $2.50, a $50 administration fee and costs of recovery.

13) Warranties

a) The Product is warranted, if at all, only according to the Agreement. Except as warranted the Agreement, Robomate disclaims all warranties and conditions with regard to the Product, including all warranties and conditions of merchantability, whether express, implied or statutory, fitness for a particular purpose, title and non-infringement.
b) We provide no warranties, whether express or implied, statutory, or otherwise, including warranties of merchantability or fitness for a particular purpose. This disclaimer will apply except to the extent the applicable law does not permit them.

16) Liability

a) Our aggregate liability for all claims under this Agreement, is limited to NZD$5,000.
b) In addition to this, we accept no liability for any damage caused by the Product in its operation, any lost time, profits or consequential damages. You agree to take reasonable steps to avoid, prevent or minimise any losses or damages.
c) Neither party will be liable for loss of revenue or indirect, consequential, business interruption or damages for loss of profits. We accept no liability for failure in performance due to causes that are beyond our reasonable control, for example your electricity supply, an Act of God or any third parties. This clause will not, however, apply to your payment obligations under this Agreement.
d) The limitation of liability in this section applies to the fullest extent permitted by applicable law. These limitations are subject to and do not limit your rights under the Consumers Guarantees Act 1993 and the Fair Trading Act 1986.
e) You accept liability to Robomate for your breach of this agreement or negligence.
f) You are liable for the safe operation of the Product in its location. We are not liable for any direct or indirect injury, or damage to people, animals, or property.

17) Miscellaneous

a) All Subscriptions are subject to approval and availability and may be declined at our discretion.
b) ‘The Product’ also includes any accessories.
c) You accept that the Product may need manual care and assistance.
d) We retain the right to subcontract or assign this agreement and any duties to a third-party without notice.
e) You may not assignment this Agreement either in whole or in part without our consent.
f) You consent to Robomate conducting identity checks and credit checks through third parties at any time during the Subscription Period.
g) You must disclose the Products location on request. At time of signing the Subscription you will disclose your address. This address is deemed to be the location of the Product throughout the Subscription period. If you move addresses, or you wish to move the Product to a new address, you must advise Robomate in writing of your intention to move the product and the register the new address with Robomate.
h) This agreement is governed by New Zealand Law and any monetary amounts are in New Zealand dollars and inclusive of GST.
i) If you’re a consumer, the Consumer Guarantees Act 1993 and Fair Trading Act 1986 also applies.
j) Robomate has the right to remotely block software of the Product upon non-payment, cancellation or if it is overdue for return.

These Terms are effective once you have accepted these terms on our Shipping or Checkout page, or otherwise placed an order for Product with Robomate.
c) You must be 18 years or older and permanently residing in New Zealand to apply for finance.

2) Purchase Trial Period

a) You will have a free 14-day period with the following conditions:

i) This is a trial only for genuine customers for the sole purpose of evaluating the performance of the product.
ii) This trial is only valid for consumers, households, offices or businesses who have not owned or trialed a Robomate robot vacuum within the preceding 2 years, unless it is declared and then accepted in writing by an authorised Robomate representative. All trials are subject to Robomate approval and we may decline providing a trial without explanation. Contact us if you wish to request another trial.
iii) Your payment method will be automatically charged the agreed amount after the 14-day trial period has expired unless the product is returned to us.
iv) The 14-day period begins:

(1) when the Product is in your physical possession, if picked-up or delivered by Robomate or an Official Reseller.
(2) 48 hours after the Product is picked up by the courier. You must notify Robomate if the product does not arrive within 48 hours after we notify that your order has been dispatched.

v) You are fully responsible for the Product while it is in your possession.  If returned, the product and packaging must be returned in the same condition it was received, in line with fair use [see Use of Product].
vi) You are liable for costs or repair work required for any damage.

vii) If you wish to return the product:

(1) You must notify Robomate and organise the return, or collection by a courier, within the 14-day period.
(2) You must include all accessories, instructions, and packaging. To protect the product, it must be repackaged the same way you received it.

b) If you do not return the product within the 14-day trial period:

i) Your payment method will automatically be charged the full Purchase amount and is non-refundable.

ii) You accept the performance of the Product.

3) Ownership

Robomate retains full ownership, title and security over any Products until full payment has been received.  You may not sell, change the title or place a security over the Product until receipt of full payment has been acknowledged by Robomate in writing.

4) Use of Product

a) The product may only be used in accordance with Neato or Robomate’s operating instructions.

b) You agree to read the operating manual, including the maintenance guide and abide by these instructions.

c) You agree to maintain your Product.  It is recommended you use only Neato Genuine parts purchased from Robomate or an approved reseller, at your own cost.  The must be replaced:

i) Filter every 3 months

ii) Brush every 9 months

Failure to use the Product according to these terms will void the Warranty.

5) Payments

You are agreeing to pay the full amount as agreed at the time of order, unless you have returned the Product in accordance with all the terms of our Free Trial.  It is your responsibility to ensure full payment is made on time.  We retain the right to assign any debts to a third-party.  We retain the right to repossess stolen goods and pursue a criminal prosecution.

All late payments are subject to a $50 accounting fee and an additional $3 per day penalty until payment is received.

6) Return of Product

If the Product is returned for any reason, you agree to assist Robomate with its safe return.  This may include preparing, packaging and delivering to a courier service.

We may request the return of any Product that we have not received full payment for.  Failure to facilitate the return of Robomate’s property constitutes theft and we retain the right repossess stolen goods.

7)    Liability

  1. Our aggregate liability for all claims under this Agreement is limited to NZD$5,000.

Ordering

When you place an order with us, you are entering a contract to buy goods or services in accordance with these terms and conditions. An order is considered placed once you have been through the cart and checkout process and confirmed the order.  By confirming an order, you have acknowledging a responsibility to pay us within 7 days.  Once an order is placed it is subject to our cancellation and refunds policy.

We reserve the right to limit the number of items customers can purchase in a single transaction.

Our online store is intended for retail customers. Businesses must disclose their identity at time of purchase. Visit our contact page for details.

We will send you an e-mail to confirm that we have received and accepted your order, which indicates that your order has been accepted and you may not cancel it unless it is covered under a valid Trial.

We will take payment from you prior to dispatching your order, unless covered by a valid Trial.

Refusing or cancelling orders

In the unlikely event that the goods or services ordered are no longer available we reserve the right to refuse or cancel an order. While we endeavour to be accurate in our lead times, we do not accept liability for late delivery.

We reserve the right of judgement to refuse or cancel any orders that appear to us to be fraudulent or for commercial purposes, disclosed or undisclosed, or for any other reason at our sole discretion.

We reserve the right to rectify pricing or stock errors, even if that means cancelling an order.

Our right to cancel orders applies to orders that have been accepted.

Pricing

All prices listed on www.robomate.co.nz are in New Zealand dollars and are inclusive of GST. These prices are subject to change to change, without prior notice, at Robomate’s discretion.

Our prices are only valid to New Zealand buyers and do not include any charges payable by international customers.

Terms on deals

All offers are not applicable in conjunction with any other offer unless explicitly stated in writing.

Percentage (%) discounts are reduced from the standard retail price.

Website and Credit Card Security

We take care to protect your security and payments via our site are encrypted using SSL (Secure Socket Layer) protocol.

If you’re using a public or shared computer, make sure to log out and clear any saved data at the end of each session. Be wary of saving payment details for future use, unless you’re on a secure, private-use computer.

Installation

Neato Vacuums – installation is to be completed by the customer. All vacuums come with installation manuals and set-up tutorials. The robot will self-map the house, but it is necessary to pick up clothes and other such small items that may jam the brush.

Installation is not included on any displayed prices unless explicitly stated.

Support

We offer basic phone support free of charge for the first 30 days. After that, we reserve the right to charge $75 per hour for support if it is outside our warranty obligations or duty of care in the Consumer Guarantees Act.

On-site support that is not covered under Warranty or the Consumer Guarantees Act will be charged out at $100 per hour plus travel costs of $0.80 per kilometre.

Accessing this website

You may not access our website except via internet browser on phone, tablet or computer. It is a breach of copyright and other laws to access or integrate this website into any other platform without written permission of a Robomate Director.
